Job Description Purpose
Provide legal counsel to global healthcare company on relevant issues involving application of U.S. law, regulations, and industry standards.

Acts as counsel for the Company on various corporate law matters, supporting client groups within the U.S. affiliate, and interacts with headquarters and other affiliates as required. May interact with government agencies, law firms, trade organizations and other external agencies. Reports to VP for Legal Affairs or Counsel Legal Affairs.

Essential Functions
Keeps informed of new laws, regulations, and industry trends affecting the company, and assists with development of policies and training as needed. Maintain standard contract templates. Review and negotiate contracts including services agreements, non-disclosure agreements, consulting agreements and relates sales and marketing agreements. Provide legal advice and support for real estate transactions. Review, draft and negotiate agreements (including letters of intent, subleases, lease terminations, renewals, lease amendments and assignments and other ancillary documents). Advise on U.S. securities laws and provide legal support to corporate finance and treasury activities. Review and provide input to Annual Report and other filing and public announcements. Serve as primary legal counsel related to corporate governance matters for U.S. corporate entities. Assist in preparation of board and committee agendas, meeting materials and minutes, and resolutions. Support compliance with Company insider trading policy and insider trading laws including reporting obligations. Coordinate with outside counsel as needed in handling a range of general corporate matters, and related litigations and regulatory matters.

Physical Requirements
Occasional travel required, 10-20%.

* A J.D. with 6+ years relevant legal experience preferred. In-house experience preferred
* A State Bar admission required
* Experience with corporate governance matters and general contract laws
* Experience within the healthcare/pharmaceutical industry preferred though not required
* Strong problem-solving skills – demonstrates and exercises creativity and initiative
* Strong written and verbal communications skills – able to effectively collaborate and communicate with client groups within the company
