The Legal Counsel, Corporate Transactions will provide legal support and counseling for a broad range of complex transactions on behalf of the Company, including public and private mergers and acquisitions, joint ventures, and complex corporate licensing, research collaboration, business development, and manufacturing and supply transactions.

  • Work closely with management in business development and licensing functions on complex legal transactions led by the Company’s Corporate, Merck Research Laboratories, Global Human Health, Health Services & Solutions, Manufacturing, Vaccines and Animal Health Divisions 
  • Provide both deal and strategic advice to business development, management and executive clients 
  • Lead legal support to the Company’s Health Services and Solutions businesses and practices, including policy development and guidance 
  • Negotiates and drafts highly sophisticated M&A, joint venture, licensing, collaboration and other agreements, often where no precedents exist 
  • Advise on relevant antitrust, FTC, SEC and corporate laws impacting various projects 
  • Supervise activities and manage relationship with outside counsel, as needed, to support transactions 
  • May train and supervise paralegal 
  • Provide legal services, advice and guidance that is consistent with law and Company policy; furthers business objectives and appropriately balances divisional/function/corporate business objectives and legal risks 
  • Exercise judgment to drive decisions on routine and non-routine matters within area of practice 
  • Some domestic and international travel required 
  • Report to Managing Counsel of Corporate Transactions Legal 

Education Minimum Requirement: 
  • A bachelor’s degree from an accredited institution 
  • Graduate of an accredited US law school, with admission to the Bar of New Jersey or another state

Required Experience and Skills: 

  • Three (3) or more years of legal experience in a law firm or corporate setting 
  • Experience drafting legal transactional documents 
  • Excellent teamwork, communication (written and oral) and analytical skills, and a high degree of business acumen 
  • Experience in managing a significant workload, with the ability to juggle multiple transactions simultaneously 
  • Ability to work independently with high degree of initiative and intellectual curiosity 
  • Willingness to assume other related roles and assignments, including the potential for future roles at different company locations

Preferred Experience and Skills: 

  • Experience in handling complex transactional matters in the pharmaceutical industry or related industries 
  • Experience in advising management on business and legal risks in specific transactions 
  • Experience operating in ambiguous circumstances 
  • Ability to be proactive and take initiative
